Wholesale Terms and Conditions for Al-Kushar Company
Introduction (Intent and Purpose):
These terms aim to regulate the commercial relationship between Al-Kushar Fashion Supply Company and its partners, traders, and distributors, ensuring the highest levels of transparency and reliability throughout the contracting and supply stages, in compliance with applicable laws and the principles of Islamic Sharia in sales and purchases.
Order and Pricing (Contract of Sale)
Order Acceptance
An order is considered confirmed and valid once the order confirmation invoice is sent to the trader and the trader has paid the agreed-upon amount (upfront, full, or partial payment).
Minimum Order Requirement (MOR)
Every order must meet a minimum value or quantity specified in the Partner-Specific Wholesale Catalog.
Pricing
All stated prices are final wholesale prices. These prices do not include shipping fees, customs duties, or any other local taxes (unless the price is explicitly agreed upon as a “Delivered Price”).
Payment Terms
Payment terms shall be agreed upon and documented in writing for each order individually, with clear due dates to avoid ambiguity (Gharar) in the transaction.
Supply and Delivery (Warranty and Transfer)
Supply Commitment
Al-Kushar Company commits to preparing and supplying goods that strictly match the specifications agreed upon and stipulated in the invoice.
Delivery Schedule
An estimated date for shipping and delivery shall be agreed upon, and maximum efforts will be made to adhere to this schedule, with the trader being notified of any unavoidable delays (Force Majeure).
Transfer of Responsibility
Responsibility for the goods (including risks of loss or damage) transfers to the trader immediately upon receipt of the goods at the agreed-upon location or upon delivery to the shipping company designated by the trader.
Returns and Defect Policy (Warranty)
Goods Inspection
The trader must inspect the goods immediately upon receipt and within a period not exceeding 7 Calendar Days from the date of receipt
Reporting Defects
In the event of manufacturing defects that cannot be repaired and affect usability or resale, the company must be notified in writing within the inspection period specified in Item (8).
Accepted Returns
Returns or exchanges are only accepted for documented manufacturing defects that have been reported within the inspection period. Returns due to poor selection by the trader or market changes are not accepted.
